By signing up for the Yoga Kawa Affiliate Program (“Program”), you (“Affiliate,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). These Terms constitute the entire agreement between you and Yoga Kawa Inc. (“Yoga Kawa,” “we,” “our,” or “us”) regarding your participation in the Program.
Yoga Kawa reserves the right to update these Terms at any time. Continued participation in the Program after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must withdraw from the Program.
Violation of any of these Terms may result in termination of your affiliate account and forfeiture of any outstanding unpaid commissions earned during the period of violation.
To participate in the Program, you must meet the following requirements:
All products and services sold through yogakawa.com are eligible for affiliate commissions, including but not limited to:
Commission rates vary by product and are communicated to each affiliate at the time of enrolment or as updated by Yoga Kawa from time to time. Yoga Kawa reserves the right to modify commission rates with 30 days’ written notice to active affiliates.
Upon acceptance into the Program, you will be assigned a unique affiliate code. You must use the designated link format (“Affiliate Links”) provided by Yoga Kawa in all promotional content. Commissions are earned only on sales that are tracked and attributed through properly formatted Affiliate Links.
Yoga Kawa is not responsible for commissions lost due to improperly formatted links, incorrect affiliate codes, or technical errors on your end. We will not manually credit commissions for sales that were not tracked by our system.
When a customer clicks your Affiliate Link, a tracking cookie is placed in their browser. If the customer completes a purchase within 30 days of clicking your link, you will earn a commission on that sale. Purchases made after the cookie expires are not commissionable.
Commissions are paid once your accumulated unpaid earnings reach a minimum of $50 CAD. If your account balance has not reached the $50 threshold, payment will be carried over to the following month.
Commissions are paid on a monthly basis. Provided your balance is at or above the $50 threshold, payment will be issued within 30 days of the end of the calendar month in which the commissions were earned.
Commissions are paid via Interac e-transfer to the email address on file in your affiliate account.
5.4 Taxes
You are solely responsible for reporting and paying any taxes owed on affiliate commissions in your jurisdiction. Yoga Kawa does not withhold taxes on affiliate payments. If required by law, Yoga Kawa may request tax identification information from you.
Yoga Kawa may provide you with banners, graphics, link styles, and other promotional materials. You are permitted to use these materials solely for the purpose of promoting Yoga Kawa through the Program. We may update the design of these materials at any time.

As a participant in the Program, you agree to the following:
You are solely responsible for the development, operation, and content of your website, social media channels, email lists, and any other platforms you use to promote Yoga Kawa. This includes:
You agree to comply with all applicable laws, regulations, and guidelines in your jurisdiction while participating in the Program. This includes, without limitation, compliance with Canada’s Anti-Spam Legislation (CASL), the Competition Act, and any applicable U.S. laws such as the CAN-SPAM Act and FTC disclosure guidelines if you are marketing to U.S. audiences.
You are responsible for ensuring that all marketing emails, social media posts, and other communications comply with applicable anti-spam and advertising disclosure requirements.
Customers who purchase Yoga Kawa products or services through your Affiliate Links are Yoga Kawa’s customers. All of Yoga Kawa’s policies, including our Terms of Service, Privacy Policy, and refund policies, apply to those customers. You have no authority to make commitments, promises, or representations on behalf of Yoga Kawa regarding pricing, availability, refunds, or any other terms.
Product pricing and availability are determined solely by Yoga Kawa and may change at any time. You should not display specific product prices on your website or in promotional materials, as these may become outdated.
This agreement begins when Yoga Kawa accepts your application to the Program and continues until terminated by either party.
Either you or Yoga Kawa may terminate this agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, you must immediately remove all Affiliate Links, Yoga Kawa logos, trademarks, and promotional materials from your website and other platforms.
Upon termination:
Yoga Kawa reserves the right to end the Program entirely at any time. If the Program is terminated, Yoga Kawa will pay all outstanding commissions at or above the $50 threshold earned in compliance with these Terms.
You and Yoga Kawa are independent contractors. Nothing in this agreement creates a partnership, joint venture, agency, franchise, employment, or any other relationship between the parties. You have no authority to make or accept offers, commitments, or representations on behalf of Yoga Kawa.
To the maximum extent permitted by applicable law, Yoga Kawa will not be liable for any indirect, special, incidental, or consequential damages (including loss of revenue, profits, or data) arising in connection with this agreement or the Program, even if we have been advised of the possibility of such damages. Yoga Kawa’s total aggregate liability under this agreement shall not exceed the total commissions actually paid to you in the 12 months preceding the claim.
Yoga Kawa makes no express or implied warranties or representations regarding the Program, including warranties of fitness, merchantability, or non-infringement. We do not guarantee that the yogakawa.com website will operate without interruption or error, and we are not liable for any consequences of interruptions or technical issues.
Yoga Kawa reserves the right to investigate suspected fraudulent or prohibited activity. If we determine, in our sole discretion, that commissions were earned through fraud, manipulation, or violation of these Terms, we may:
This agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from or related to this agreement shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the matter to binding arbitration administered under the rules of the ADR Institute of Canada (or its successor), with the arbitration to take place in Toronto, Ontario. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the above, Yoga Kawa may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
